Pursuant to this binding agreement SCAVIEW.ORG, also known
as The SCA View-Journal, which is owned by Ronald L.
Johnson, of 2040 Rose Cottage Way, Henderson, NV 89052, and
Advertiser, also known as _______________________ of
________________________, Advertiser shall pay to Ronald L. Johnson
an advance payment for twelve months (or for three months, if
applicable) advertising on the SCAVIEW.ORG
Web server of $ __________.
Ronald L. Johnson
shall reserve __________ guaranteed months of Advertising Space
from the Advertising Start Date of ________ on the SCAVIEW.ORG Web
server, and shall reserve the same number of months of Advertising
Space from the Start Date of _____________ for the Newsletter.
SCOPE OF ADVERTISING PURCHASE
Under this agreement, advertiser purchases the type of Page Sponsorship
at the rate(s) shown below, as designated by the advertiser below.
Home Page and Newsletter advertising are as follows, to
be designated by the advertiser placing a clear and unambiguous
circle around one of the contract period being sponsored:

SCOPE OF ADDITIONAL CHARGES
The Advertiser is
responsible for the submission of a graphic and text (if
applicable) that meets the Specification requirements sets forth
by SCAVIEW.ORG. Advertiser-submitted digital artwork must be in
the required format (GIF or JPEG) and in the standard sizes
available.
Changed or edited
ads. The Advertiser understands that additional charges will
apply for resizing to meet the standard available sizes.
The Advertiser
understands there will be a standard charge of $15 for the
placement of a changed or edited ad, regardless of the extent of
editing required, not to exceed $45 in a 12-month period,
regardless of the number of changed ads occurring during such
period.
Banner Ad
Creation. If the Advertiser prefers, SCAVIEW.ORG can create a
banner ad at a minimum charge of $25 and a maximum charge of $50,
depending on the amount of work entailed in the process.
DEFINITIONS:
"Advertising Space" means one banner (or one text Link) Advertisement, stored on the SCAVIEW.ORG Web server, with a defined Start Date.
"Advertisement" means the graphic file (or the text file of
the company's name) supplied by an Advertiser
which can be selected by a user as a Link.
"Link" means a request for information from a server other than
the SCAVIEW.ORG Web server located at the Web hosting company,
MinnesotaShopper.com (Grand Rapids, MN).
"Slot" means an HTML page which may include a SCAVIEW.ORG
Advertising Space and the Sponsor's Advertisement.
"Start Date" means the first day the SCAVIEW.ORG Web
server will display the Advertisement and the first day the
Newsletter will display the Advertisement.
"SCAVIEW.ORG Web server" means a server computer of
MinnesotaShopper.com
that users may access via the Internet.
"Newsletter" means The SCA View-Journal newsletter announcing new
content appearing on the SCAVIEV.ORG Web server and sent out on an
irregular basis by email to members of the community. While such
mailings have averaged five per month, we make no specific
guarantee on the number of such mailings per month.
PAYMENT:
Payment in full for the contract period covered by this contract
shall be made to Ronald L. Johnson dba The SCA View-Journal in
advance of the advertising scheduled start date.
SCAVIEW.ORG reserves the right to hold Advertiser and its
authorized advertising agent jointly and severally liable for any
and all amounts owed.
RIGHT TO REFUSE UNACCEPTABLE ADVERTISING:
SCAVIEW.ORG reserves the right to refuse any advertisement
sponsorship banner that does not completely conform to every
detail, instruction, method, and guideline set in the
Specifications which can be found on the SCAVIEW.ORG Web Site.
SCAVIEW.ORG reserves the right to refuse any advertisement graphic
that does not arrive seven days before the Advertiser would like
the banner to be produced online. The SCAVIEW.ORG may in its complete discretion refuse the
use of any advertising.
USAGE STATISTICS:
SCAVIEW.ORG MAKES NO GUARANTEE OF ANY LEVEL OF TRAFFIC AT ANY
GIVEN TIME. SCAVIEW.ORG SHALL NOT BE HELD LIABLE FOR ANY CLAIMS AS
THEY RELATE TO PUBLISHED OR UNPUBLISHED USAGE STATISTICS.
SCAVIEW.ORG IS NOT REQUIRED TO PROVIDE ADVERTISERS WITH USAGE
STATISTICS.
TRUTH IN ADVERTISING / INDEMNIFICATION FOR LIABILITY:
Advertiser is solely responsible for any legal liability arising
out of or relating to (1) the Advertisement, and/or (2) any
material to which users can link through the Advertisement.
Advertiser represents and warrants that the Advertisement and Link
comply with SCAVIEW.ORG's advertising standards; and that it holds
the necessary rights to permit the use of the Advertisement and
Link by SCAVIEW.ORG for the purpose of this Agreement; and that
the use, reproduction, distribution, or transmission of the
Advertisement will not violate any criminal laws or any rights of
any third parties, including, but not limited to, such violations
as infringement or misappropriation of any copyright, patent,
trademark, trade secret, music, image, or other proprietary or
property right, false advertising, unfair competition, defamation,
invasion of privacy or rights of celebrity, violation of any
antidiscrimination law or regulation, or any other right of any
person or entity. Advertiser agrees to indemnify SCAVIEW.ORG and
to hold SCAVIEW.ORG harmless from any and all liability, loss,
damages, claims, or causes of action, including reasonable legal
fees and expenses that may be incurred by SCAVIEW.ORG, arising out
of or related to Advertiser's breach of any of the foregoing
representations and warranties.
LIMITATION ON DAMAGES:
IN NO EVENT WILL SCAVIEW.ORG BE LIABLE TO AN ADVERTISING SPONSOR FOR ANY SPECIAL,
INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER BASED ON BREACH OF
CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER
OR NOT SCAVIEW.ORG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGE.
ASSIGNMENT:
Advertiser may not assign this agreement, in whole or in part,
without SCAVIEW.ORG's written consent. Any attempt to assign this
Agreement without such consent will be null and void.
GOVERNING LAW:
This Agreement will be governed by and construed in accordance
with the laws of the State of Nevada.
ENTIRE AGREEMENT:
This Agreement and any and all exhibits and attachments are the
complete and exclusive agreement between the parties with respect
to the subject matter hereof, superseding and replacing any and
all prior agreements, communications, and understandings (both
written and oral) regarding such subject matter, provided that all
pricing will be governed by SCAVIEW.ORG's Pricing Information,
whether printed on paper or electronically. The terms and
conditions of this Agreement will prevail over any contrary or
inconsistent terms in any purchase order. This Agreement may only
be modified, or any rights under it waived, by a written document
executed by both parties.
